Terms of Service

Welcome to PatientPayments. These Terms of Service ("Terms") govern your access to and use of the PatientPayments platform, website, and services (collectively, the "Service") operated by PatientPayments LLC ("PatientPayments," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Description of Service
PatientPayments provides a cloud-based payment platform designed for dental practices. The Service enables dental practices ("Practices" or "Subscribers") to:
- Collect patient payments online via secure, Stripe-hosted payment pages
- Create and manage patient payment plans with automated recurring billing
- Offer in-house dental membership programs with benefit tracking
- Communicate with patients via two-way SMS text messaging
- Generate invoices, statements, and payment reports
The Service is intended for use by dental practices and their authorized staff. Patients interact with the Service through payment links, membership sign-up pages, and text messages sent by their dental practice.
2. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use of your account
You must be at least 18 years old and have the legal authority to bind the Practice to these Terms. By registering, you represent that you have such authority.
3. Payment Processing
PatientPayments uses Stripe as its payment processing infrastructure. By using the Service:
- You agree to Stripe's Terms of Service and Connected Account Agreement
- You acknowledge that patient payment card data is collected and processed entirely by Stripe and never touches PatientPayments servers
- You authorize PatientPayments to create and manage a Stripe Connect Express account on behalf of your Practice
- You understand that payment processing fees and technology fees apply as described on our Pricing page
PatientPayments is not a bank, money transmitter, or financial institution. We facilitate payment processing through Stripe's licensed infrastructure.
4. SMS Text Messaging
If you use the two-way texting feature, the following additional terms apply:
4.1 Practice Responsibilities
As the Practice using PatientPayments to send text messages to patients, you are solely responsible for:
- Obtaining proper consent from each patient before sending them text messages, in compliance with the Telephone Consumer Protection Act (TCPA), state laws, and all applicable regulations
- Maintaining records of patient consent
- Honoring all opt-out requests promptly
- Ensuring that message content complies with all applicable laws and regulations
- Using SMS messaging only for legitimate practice communications related to billing, payments, and account management
4.2 Prohibited SMS Uses
You may not use the SMS feature to:
- Send marketing or promotional messages unrelated to the patient's account
- Send messages to individuals who have not provided consent
- Send messages after a recipient has opted out
- Transmit content that is illegal, harmful, threatening, abusive, or otherwise objectionable
- Share, sell, or distribute patient phone numbers or messaging data to third parties
4.3 Message Rates and Carriers
Standard message and data rates may apply to patients receiving text messages. PatientPayments is not responsible for carrier fees. Messaging services are subject to carrier availability and may not be available in all areas.

5. HIPAA and Patient Data
PatientPayments processes certain patient information on behalf of dental practices. We operate as a Business Associate under HIPAA and will enter into a Business Associate Agreement (BAA) with each Practice as required.
- You are responsible for ensuring your use of the Service complies with HIPAA and applicable state privacy laws
- You must not transmit Protected Health Information (PHI) through the Service except as permitted by your BAA with PatientPayments and applicable law
- You must maintain appropriate administrative, physical, and technical safeguards for any PHI you access through the Service
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers connected to the Service
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to process payments for illegal goods or services
- Misrepresent your identity or Practice information
- Use the Service in a manner that could damage, disable, or impair the Service
7. Fees and Billing
Fees for the Service are described on our Pricing page. PatientPayments reserves the right to change fees with 30 days' advance notice. All fees are non-refundable except as expressly stated in these Terms or required by law.
- Platform subscription fees are billed monthly and charged to the payment method on file
- Technology fees (per-transaction fees) are deducted from each transaction or billed to the Practice, depending on your plan
- Add-on fees (e.g., two-way texting, health credit assessments) are billed monthly or per-use as described on the Pricing page
8. Intellectual Property
The Service, including all software, design, text, graphics, and other content, is owned by PatientPayments LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATIENTPAYMENTS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO PATIENTPAYMENTS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless PatientPayments LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law, including TCPA, HIPAA, or state privacy laws
- Your failure to obtain proper patient consent for text messaging
- Any dispute between you and a patient
11. Termination
Either party may terminate the Service relationship at any time. You may cancel your subscription from your dashboard or by contacting us. PatientPayments may suspend or terminate your account if you violate these Terms.
Upon termination:
- Your access to the Service will cease
- Outstanding payment obligations remain due
- Active patient payment plans and memberships will continue to process unless canceled by the Practice
- We will retain data as required by law and our data retention policies
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
